These Candidate Terms of Use (“Terms”) constitute a legally binding agreement between you (“Candidate,” “you,” or “your”) and P-Value Inc., doing business as Certiverse (“Certiverse,” “we,” “us,” or “our”), with its principal place of business in Illinois, governing your access to and use of the Certiverse platform, including our website, web and mobile applications, and related services (collectively, the “Platform”) for registering for, scheduling, paying for, and taking certification and credentialing examinations administered on behalf of Certiverse’s clients (each, a “Test Sponsor”).

PLEASE READ THESE TERMS CAREFULLY. SECTION 14 CONTAINS A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION. BY CREATING AN ACCOUNT, CLICKING “I AGREE,” OR OTHERWISE ACCESSING OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, OUR PRIVACY POLICY, AND — IF YOU REGISTER FOR A REMOTELY PROCTORED EXAM — THE REMOTE PROCTORING & BIOMETRIC CONSENT ADDENDUM.

1. Eligibility

1.1 Age Requirement. You must be at least 18 years old, or the age of majority in your jurisdiction of residence if greater, to create an account or otherwise use the Platform. By using the Platform, you represent and warrant that you meet this requirement. If Certiverse learns that a Candidate does not meet this age requirement, we may suspend or terminate that Candidate’s account and cancel any pending exam registrations.

1.2 Notice. If you believe a Candidate does not meet the age requirement in Section 1.1, or if your Test Sponsor requires an exception process for candidates under the age of majority, please contact us immediately at support@certiverse.com.

2. Description of Services

2.1 The Platform. Certiverse provides a technology platform that enables Test Sponsors to design, administer, and deliver certification and credentialing examinations to Candidates. Through the Platform, you may create an account, register for and schedule exams, pay applicable exam fees, complete identity verification, take remotely proctored exams, and receive exam results.

2.2 Relationship with Test Sponsors. Certiverse operates the Platform on behalf of, and under agreement with, the organization sponsoring the certification exam for which you are registering. The Test Sponsor determines eligibility requirements, exam content, passing standards, and certification or credentialing decisions. Certiverse is not the Test Sponsor and does not determine whether you pass or fail an exam or whether you are awarded a credential. Your Test Sponsor may impose additional terms, policies, or eligibility requirements applicable to your exam or credential, and you are responsible for reviewing and complying with those additional terms.

2.3 Remote Proctoring and Identity Verification. Some exams are administered under live and/or automated remote proctoring, which involves video, audio, and screen monitoring, together with identity verification that includes comparison of a government-issued identification document to a live image of your face. If you register for a remotely proctored exam, your participation is governed by the Remote Proctoring & Biometric Consent Addendum (the “Proctoring Addendum”), which is incorporated into these Terms by reference and which you must separately accept before your exam session begins. In the event of any conflict between these Terms and the Proctoring Addendum regarding proctoring, identity verification, or biometric data, the Proctoring Addendum controls.

3. Account Registration and Security

3.1 Accuracy of Information. You agree to provide accurate, current, and complete information when creating your account and registering for an exam, and to promptly update such information if it changes.

3.2 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. You agree to notify Certiverse promptly at support@certiverse.com of any unauthorized use of your account or any other breach of security.

3.3 Single Sign-On. If your Test Sponsor or employer provides access to the Platform through single sign-on (“SSO”), your use of SSO is also subject to the terms and privacy policies of that identity provider, over which Certiverse has no control.

4. Exam Registration, Fees, and Payment

4.1 Booking. Exam registration and scheduling are subject to availability, seat capacity, and any eligibility requirements imposed by your Test Sponsor.

4.2 Fees. Certain exams require payment of a fee, as disclosed to you at the time of registration. Exam fees are processed by Stripe, Inc., which acts as merchant of record for all Candidate exam payments. Certiverse does not store your full payment card number. By submitting payment, you authorize the applicable charge to the payment method you provide, and you represent that you are authorized to use that payment method.

4.3 Cancellations, Rescheduling, and Refunds. Your eligibility for a refund or rescheduling depends on the type of exam you registered for, as described below.

On-Demand Exams:

  • Exams expire seven (7) days from registration.
  • No refunds will be issued after expiration.
  • Cancellations made before expiration qualify for a full refund.
  • Refunds are processed within seven (7) to ten (10) business days.
  • If a voucher was used, it will reactivate as long as it has not expired.
  • If payment was made through Certiverse, Certiverse will coordinate with Stripe, its merchant of record, to process the refund. If payment was made outside of Certiverse (for example, directly through your Test Sponsor), please contact that organization for its refund policy.

Live, Scheduled Exams (Including Practice Tests):

  • Scheduled exams expire if you do not arrive within forty-five (45) minutes of your scheduled start time.
  • Cancellations made at least twenty-four (24) hours before your scheduled exam qualify for a full refund.
  • No refunds will be issued after expiration.
  • Refunds are processed within seven (7) to ten (10) business days.
  • If a voucher was used, it will reactivate as long as it has not expired.
  • If payment was made through Certiverse, Certiverse will coordinate with Stripe, its merchant of record, to process the refund. If payment was made outside of Certiverse, please contact that organization for its refund policy.

4.4 Misconduct. Notwithstanding Section 4.3, if your exam session is terminated, or your exam results are voided, due to a violation of the conduct requirements described in the Proctoring Addendum, you will not be entitled to a refund of any exam fee.

5. Exam Content and Intellectual Property

5.1 Ownership. All exam questions, answer choices, exam forms, scoring methodologies, and related materials (collectively, “Exam Content”) are the confidential and proprietary property of Certiverse and/or the applicable Test Sponsor and are protected by copyright and other intellectual property laws.

5.2 Restrictions. You agree that you will not, and will not attempt to, or assist any other person to:

  • copy, photograph, record, memorialize for purposes of reproduction, disclose, publish, post, or distribute any Exam Content;
  • remove or attempt to remove any Exam Content from the exam interface;
  • reproduce, translate, or create derivative works based on any Exam Content; or
  • share exam questions or answers with any other person, before, during, or after your exam session.

Violation of this Section 5.2 may result in the voiding of your exam results, suspension or termination of your account, referral to your Test Sponsor and, where appropriate, law enforcement, and legal action against you.

5.3 Platform IP. Certiverse retains all right, title, and interest in and to the Platform, including all software, design, and technology underlying it. Nothing in these Terms grants you any right to use Certiverse’s or any Test Sponsor’s trademarks, logos, or other proprietary content, except as necessary to use the Platform as permitted.

6. Acceptable Use

In addition to the exam-session conduct requirements set out in the Proctoring Addendum, you agree that you will not:

  • access the Platform using any automated means (e.g., bots or scrapers) without Certiverse’s prior written consent;
  • interfere with or disrupt the integrity or performance of the Platform;
  • attempt to gain unauthorized access to the Platform, other Candidates’ accounts, or Certiverse’s systems or networks;
  • impersonate any person or misrepresent your affiliation with any person or entity;
  • upload or transmit any virus, malware, or other harmful code; or
  • use the Platform for any unlawful purpose or in violation of any applicable law, rule, or regulation.

7. Privacy

Our collection, use, and disclosure of personal information, including information collected through the Platform, is described in our Privacy Policy, available at www.certiverse.com/privacy, which is incorporated into these Terms by reference. Our collection and use of biometric identifiers and biometric information in connection with identity verification and remote proctoring, and your consent to that collection and use, is governed separately by the Proctoring Addendum.

8. Third-Party Services

The Platform integrates with, or may direct you to, services provided by third parties, including Stripe (payment processing; merchant of record for Candidate exam payments), Twilio (video, audio, and session infrastructure), and, where applicable, learning management systems or credentialing platforms designated by your Test Sponsor (for example, Credly, Accredible, or Adobe Learning Manager). Certiverse is not responsible for the acts, omissions, content, or practices of any third-party service, and your use of any such service may be subject to that third party’s own terms of use and privacy policy.

9. Disclaimers

THE PLATFORM AND ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CERTIVERSE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY EXAM RESULTS, SCORES, OR CREDENTIALING DECISIONS WILL MEET YOUR EXPECTATIONS. CERTIVERSE EXPRESSLY DISCLAIMS ANY REPRESENTATION OR WARRANTY REGARDING CREDENTIALING, LICENSURE, EMPLOYMENT, OR OTHER OUTCOMES ASSOCIATED WITH ANY EXAM OR CERTIFICATION, WHICH REMAIN WITHIN THE SOLE DISCRETION OF YOUR TEST SPONSOR.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CERTIVERSE OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF CERTIVERSE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

CERTIVERSE’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO CERTIVERSE FOR THE EXAM GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THIS SECTION 10 DOES NOT LIMIT LIABILITY FOR (I) CERTIVERSE’S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, OR (II) ANY LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless Certiverse and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your violation of these Terms or the Proctoring Addendum; (b) your misuse of the Platform; or (c) your violation of any law or the rights of any third party.

12. Term and Termination

12.1 These Terms remain in effect for as long as you maintain an account or use the Platform.

12.2 Certiverse may suspend or terminate your account or access to the Platform at any time, with or without notice, if we reasonably believe you have violated these Terms, the Proctoring Addendum, or applicable law, or have engaged in exam misconduct.

12.3 You may terminate your account at any time by contacting Certiverse at support@certiverse.com. Sections 5, 7–11, and 13–16 will survive any termination of these Terms.

13. Changes to These Terms

Certiverse may modify these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on the Platform and updating the “Effective Date” above and, where required by applicable law, by providing additional notice (such as by email). Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms.

14. Governing Law; Dispute Resolution; Arbitration Agreement

14.1 Governing Law. These Terms, and any dispute arising out of or related to these Terms or the Platform, are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles.

14.2 Agreement to Arbitrate. Except as set forth in Section 14.5 and Section 14.6, you and Certiverse agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Proctoring Addendum, the Privacy Policy, or the Platform (a “Dispute”) will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, rather than in court, except that either party may bring an individual action in small claims court for Disputes within that court’s jurisdiction.

14.3 CLASS ACTION WAIVER. YOU AND CERTIVERSE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. UNLESS BOTH YOU AND CERTIVERSE AGREE OTHERWISE IN WRITING, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

14.4 Arbitration Procedures. The arbitration will be conducted by a single arbitrator and may be conducted in person, by telephone, or by videoconference, as the arbitrator determines. The arbitrator’s decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Each party will bear its own attorneys’ fees and costs, except as the arbitrator may otherwise award under applicable law.

14.5 Exceptions. Notwithstanding Section 14.2, either party may bring an individual action in the state or federal courts located in DuPage County, Illinois for claims relating to intellectual property infringement or misappropriation, violation of the Acceptable Use provisions of Section 6, or violation of the Exam Content provisions of Section 5, and either party may seek injunctive or other equitable relief in such courts to prevent actual or threatened misuse of Exam Content or the Platform.

14.6 Opt-Out. You may opt out of the arbitration agreement in Section 14.2 by sending written notice to support@certiverse.com within thirty (30) days of first accepting these Terms. Your notice must include your name, account email address, and a clear statement that you wish to opt out of arbitration. If you opt out, any Dispute will be resolved exclusively in the state or federal courts located in DuPage County, Illinois, and you and Certiverse each waive any right to a jury trial to the fullest extent permitted by law.

15. Miscellaneous

15.1 Entire Agreement. These Terms, together with the Proctoring Addendum, the Privacy Policy, and any Test Sponsor-specific terms applicable to your exam, constitute the entire agreement between you and Certiverse regarding the Platform and supersede any prior agreements or understandings.

15.2 Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

15.3 No Waiver. Certiverse’s failure to enforce any provision of these Terms will not constitute a waiver of that provision.

15.4 Assignment. You may not assign these Terms without Certiverse’s prior written consent. Certiverse may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets.

15.5 Force Majeure. Certiverse will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, internet or utility outages, or acts of government.

15.6 Notices. Certiverse may provide notices to you via the email address associated with your account, through the Platform, or by posting on our website. You may provide notices to Certiverse at the address in Section 16.
